Survey software maker Qualtrics has high revenue growth and could merit a valuation of $20 billion or more. However, the presence of controlling shareholder SAP calls for a hefty discount, LiamWardProud explains.

Survey-software group Qualtrics International, owned by Germany’s SAP, on Dec. 28 filed for a U.S. initial public offering.

SAP agreed to buy the company for $8 billion in 2018. After the float, Qualtrics will have two classes of shares. The German parent will own all of the Class B shares, which carry 10 times the voting weight of Class A shares. The company’s initial pricing range of $20 to $24 per share implies an equity valuation of between $12 billion and $14.4 billion assuming 600 million shares outstanding after the offering.The logo of software company SAP is seen in Davos, Switzerland Januar 22, 2020.
