Weather chiefs have put the warning in place from 11pm on Thursday until 7am on Friday morning with only Kerry included.
A forecaster said: "Heavy rain with accumulations between 20 and 40mm expected, potentially higher amounts possible in mountainous areas.While the rest of the country looks set to avoid official warnings there will still be plenty of rain and even thunder in parts. "It will be very mild with temperatures no lower than 13 to 15 degrees with a moderate to fresh south to southeast breezes that will be strong at times along Atlantic coasts.
